SPEAKER AGREEMENT for the Building Service Contractors Association International
By signing and submitting this Speaker Agreement to BSCAI Headquarters, I signify that I understand and agree to all the terms as written.
I hereby agree to the following terms and conditions when presenting my educational presentation (“Presentation Materials”) either virtually or in-person for BSCAI.
- Presentation Materials. The Speaker will prepare graphic materials, overall program design, and visual aids, including a PowerPoint presentation on the event template (collectively “Presentation Materials”). The Presentation Materials must be submitted to BSCAI no later than two-weeks before the live session, for BSCAI to review and approval and for posting slides to BSCAI website and our event mobile app (should we provide one).
- Custom Presentation. The Speaker will prepare an original, custom Presentation that is carefully fitted to BSCAI and relevant to the industry. The Speaker is required to listen to the BSCAI Industry Webinar and participate in a prep call with either a BSCAI staff member or other appointed industry expert. The Presentation must support BSCAI’s organization, its values, beliefs, culture and people. Within the context of the chosen topic, the Speaker will address specific problems, challenges, breakthroughs experienced by the BSCAI, industry, organization and people.
- Artificial Intelligence. BSCAI acknowledges Generative Artificial Intelligence (AI) tools have many benefits, but their use also carries a number of risks. Speaker agrees to only use AI tools for the following authorized purposes: idea generation, general-knowledge questions and research meant to enhance Speaker’s understanding on a topic, and to summarize online research or to create outlines for content projects to assist in full coverage of a topic. Speaker is prohibited from using AI Tools to infringe the rights of others, including privacy and intellectual property rights, create final work product (including the Presentation and Presentation Materials), and create content to be distributed by BSCAI. While using AI tools, Speaker may not enter any BSCAI or third-party confidential, trade secret, or other personal or proprietary information into a prompt for an AI Tool. Speaker shall comply with all BSCAI policies and guidelines on use of AI tools.
- Indemnification. The Speaker attests that he is the owner of all content and authorized to give access for use and publication as outlined in this Agreement. The Speaker agrees to fully indemnify, defend and hold harmless BSCAI, its officers, directors, employees, agents, and each of them, from any claim, demand, loss, liability, damage or expense arising in any way from a breach of this Agreement or the Presentation and/or Presentation Materials including any claims the Presentation and/or Presentation Materials, allegedly or actually violate the intellectual property rights of a third party. Any action to enforce this Agreement shall be brought in a court of competent jurisdiction in the Cook County District, and the prevailing party shall have its costs and reasonable attorney’s fees paid by the company. The terms of this provision shall survive the termination or expiration of this Agreement. The terms of this provision shall survive the termination or expiration of this Agreement.
- Permissions. The Speaker has the full authority to enter into this Agreement and have obtained all necessary permissions or licenses from any individuals or organizations whose materials (e.g. text, photography) is included or used in the Presentation. BSCAI.
- Recording. The Speaker consents to BSCAI, through its designated vendor, audio and/or videotaping and photographing Speaker’s Presentation. The videotape and/or audiotape and photographs from Speaker’s Presentation and Presentation may be reproduced in whole or in part by BSCAI and in any and all forms as may be chosen. The Speaker agrees to pre-record their session for our virtual audience. Speaker hereby grants to BSCAI a non-exclusive, perpetual, irrevocable, worldwide license to copy, modify, display, post, publish, and distribute the Presentation and the Presentation Materials and to allow third-parties to exercise these rights on behalf of BSCAI. Without limiting the foregoing, BSCAI may distribute, modify and use copies of all or part of the Presentation and Presentation Materials in any manner BSCAI may find appropriate. Speaker shall not have a right to the proceeds derived from such distribution and use. Notwithstanding the above, Speaker retains all copyrights and intellectual property rights to all materials provided or presented by Speaker. BSCAI shall also have the right to use Speaker’s photograph, biography and other materials for the purpose of promoting Speaker’s session(s).
- Force Majeure. Should the event be canceled due to reasons not caused by or under the control of the BSCAI, (i.e. by way of illustration and not limitation, fire, flood, curtailment of all transportation services, civil unrest, national emergency, etc.), there will be no obligation on the part of BSCAI or the Speaker unless the event is able to be rescheduled.
- Cancellation by Speaker. If the event should proceed but the Speaker is unable to participate due to reasons not caused by or under the control of BSCAI, the Speaker agrees to provide a suitable replacement under the same terms and conditions that are outlined in this Agreement. BSCAI has the right to determine, in its sole discretion, whether or not the replacement is deemed suitable.
- Cancellation or Modification by BSCAI. BSCAI reserves the right to cancel this Agreement and replace Speaker if due dates are missed. BSCAI reserves the right to cancel any session, change the length or size of any session, or change the place of any session at its discretion at any time. In the event that BSCAI, after entering this Agreement, receives or discovers information which raises concern that the Presentation as planned by the Speaker may not be acceptable or in keeping with BSCAI public image, Speaker has been accused of a crime, or Speaker otherwise engages in conduct which BSCAI determines is outside the purpose and character of BSCAI, BSCAI shall have the right to cancel this Agreement without liability.
- Speaker Conduct. The Speaker also agrees to keep the terms of this Agreement confidential; all items in this Agreement are under nondisclosure and to refrain from any reference of their company’s products or services or products and services provided by any companies with which he has a business relationship with or will profit from, or include any information that would be considered marketing; all content is to be educationally based. The Speaker will also maintain a professional demeanor, including refraining from improper language or approaches of any class participant. Professional conduct and language will be determined in the sole judgement by BSCAI.
- Independent Contractor. The Speaker is retained and employed by BSCAI only for the purpose and to the extent set forth in this Agreement and is not affiliated with or an employee or agent of BSCAI but is an independent contractor.
- Governing Law. This Agreement shall in all respects be governed, interpreted, and enforced in accordance with the laws of the State of Illinois. The venue of any action or proceeding arising out of this Agreement shall be in Chicago, Cook County, Illinois.
15. Assignment. The parties acknowledge that the services to be rendered by the Speaker are unique and personal. Accordingly, the rights, duties or obligations of the speaker hereunder shall not be assigned or delegated without prior written consent of BSCAI.
16. Entire Agreement. This Agreement contains the entire understanding between and among the parties and supersedes any prior understandings and agreements among them respecting the subject matter of this Agreement.
